The Situation

This client is a national construction products wholesaling company that supplies building materials to contractors, developers, and retailers across multiple states. The company had grown rapidly over the preceding years, expanding from a regional operation to a national footprint. But its legal infrastructure hadn't kept pace with its growth.

When the owners first reached out to us, the picture was concerning. The company was still operating on the same supplier and customer contracts it had used when it was a fraction of its current size. Many distribution relationships were governed by informal purchase orders or verbal agreements. The employee handbook was years out of date and didn't reflect current federal or state employment law requirements. And there was no centralized system for managing contracts, tracking compliance obligations, or ensuring that new deals were being documented consistently.

The company's ownership recognized that what had worked when the business was small was now creating real exposure. A single supply chain dispute, employment claim, or regulatory issue could cost them far more than the investment needed to get their legal house in order.

What We Did

We conducted a comprehensive legal operations audit and then rolled out a phased overhaul of the company's contract framework, employment practices, and compliance systems.

Contract Standardization

We developed a suite of standardized agreements tailored to the construction products industry, including master supply agreements, distribution contracts, customer credit applications with personal guaranty provisions, and purchase order terms and conditions. Each form was drafted to reflect the specific risks of the building materials industry — including product liability allocation, force majeure provisions for supply chain disruptions, warranty limitations, and appropriate limitation of liability clauses. We also created a tiered approval process so the company's sales team could execute routine orders efficiently while flagging non-standard terms for legal review.

Employment Law Compliance

We rewrote the employee handbook from the ground up, ensuring compliance with federal employment law as well as the employment laws of each state where the company had employees or facilities. This included updated policies for anti-harassment and anti-discrimination, wage and hour practices, FMLA and leave administration, at-will employment acknowledgments, workplace safety protocols, and social media and technology use policies. We also drafted template employment agreements, offer letters, and separation agreements for use across the organization.

Regulatory Compliance Framework

We worked with the company to identify the regulatory requirements applicable to its operations across all jurisdictions, including business licensing, sales tax collection obligations, environmental and transportation regulations related to building materials, and credit and collections practices. We created a compliance calendar and tracking system that assigned responsibility for recurring obligations and provided automated reminders for renewal and filing deadlines.

Ongoing Fractional Counsel Support

After the initial overhaul, we enrolled the company in our Fractional Counsel™ Program to provide ongoing legal support as the business continued to scale. This included routine contract review, employment law guidance, and strategic counsel on new market entry and expansion decisions.

The Result

Within four months, the company went from operating on outdated, inconsistent documentation to having a comprehensive, current legal framework that matched the scale and complexity of its national operations. The new contract suite gave the sales team professional, legally sound documents that reinforced the company's credibility with major contractors and developers. The overhauled employment practices significantly reduced the company's exposure to wage and hour claims and provided management with clear, defensible policies for handling personnel matters.

The compliance tracking system eliminated the scramble of last-minute filings and renewals. And through the ongoing Fractional Counsel™ engagement, the company now had a legal advisor who understood their industry, their risk profile, and their growth objectives — available whenever they needed guidance.
